1. Acceptance of Terms
By accessing or using VibNFlip, you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, do not use the platform. VibNFlip is operated by Farrington Development LLC.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use VibNFlip. By using the platform, you represent that you meet these requirements.
3. Listings
Sellers are responsible for the accuracy of their listings. You represent that you own or have the right to sell all included intellectual property. Misrepresentation, plagiarism, or fraudulent listings will result in immediate removal and account suspension.
4. Fees and Payment
VibNFlip charges an 8% platform fee on completed sales, deducted from seller proceeds. All payments are processed by Stripe. Platform fees are non-refundable.
5. Escrow and Transfers
Payments are held in escrow until the buyer confirms IP transfer or the 72-hour review window expires. Sellers must deliver all promised assets within 48 hours of payment confirmation.
6. Disputes
Disputes must be raised within 72 hours of purchase. VibNFlip's decision on disputes is final. We reserve the right to issue refunds or release escrow at our sole discretion.
7. Prohibited Conduct
You may not use VibNFlip to sell stolen, plagiarized, or fraudulently represented software; circumvent our fee structure; harass other users; or violate any applicable law.
8. Disclaimer
All software is sold as-is. VibNFlip makes no warranties about any listing. We are not liable for any damages arising from purchases made on the platform.
9. Limitation of Liability
To the maximum extent permitted by law, Farrington Development LLC's liability is limited to the amount of fees paid by you to VibNFlip in the 12 months preceding the claim.
10. Changes
We may update these Terms at any time. Continued use of VibNFlip after changes constitutes acceptance of the new Terms.
11. Governing Law
These Terms are governed by the laws of the State of [State], without regard to conflict of law principles.
